Grant of ASX Listing Rule Waiver

ASX ANNOUNCEMENT

                        GRANT OF ASX LISTING RULE WAIVER

The Agency Group Australia Ltd (ASX: AU1) (Company or The Agency) advises that ASX has
today granted the Company a waiver from ASX Listing Rule 14.7 to the extent necessary to
permit the Company to issue 6,160,000 shares to John Kolenda (or his nominee), up to
10,000,000 shares to John Kolenda (or his nominee), 833,333 shares to Paul Niardone (or his
nominee)and 333,333 options exercisable at $0.30 on or before that date which is 3 years from
the date of issue to Adam Davey (or his nominee) (together Related Party Securities) as
approved by the Company’s shareholders at the general meeting held on 28 November 2018
(Meeting), later than one month after the date of the Meeting, on the following conditions:

•   The Related Party Securities must be issued no later than 11 January 2019 and otherwise on
    the same terms and conditions as approved by the Company’s shareholders at the
    Meeting.

•   The Company immediately releases the terms of the waiver to the market.
