Letter to Optionholders - Bonus Issue

Dear Option holder,

THE AGENCY GROUP AUSTRALIA LIMITED - BONUS ISSUE OF SHARES

As announced on 17 October 2018, The Agency Group Australia Limited (ACN 118 913 232) (AU1) is
undertaking a bonus issue of six (6) fully paid ordinary share in the capital of the Company (Share) for
every ten (10) Shares held by eligible shareholders (pre-consolidation), with the new Shares to be issued
for nil consideration (Bonus Issue).

The Bonus Issue is being made to all shareholders of the Company named on its register of members at
5:00pm (WST) on 3 December 2018.

The new Shares to be issued will rank equally with the Shares already on issue.

Following completion of the bonus issue (and the 30:1 consolidation announced by the Company on 19
September 2018), the Company will have issued approximately 13,675,861 new Shares (on a post-
consolidation basis).

Option holders

The terms and conditions of the options you currently hold do not entitle you to participate in the Bonus
Issue unless you exercise your options in time for new shares to be issued and to be entered on the
Company’s register of members on or before 5:00pm (WST) 3 December 2018 (Record Date).

To exercise your options and thereby participate in the Bonus Issue, you will need to deliver the following
to the Company:

A notice of exercise of options;

An option certificate (where the options are certificated) or a copy of a holding statement (where the
       options are uncertificated) in respect of those options to be exercised; and

Payment for the exercise price in respect of those options to be exercised by way of a cheque made
     payable to “The Agency Group Australia Limited”.

To ensure that your new shares are issued prior to the Record Date, the above must be received by The
Agency Group Australia Limited no later than 3 December 2018. If received after this date, issue of new
shares prior to the Record Date cannot be assured.
